By accessing and using the website at officebroker.io (“the Website”), you agree to comply with and be bound by these Terms and Conditions. If you do not agree to be bound by these Terms and Conditions, you must stop using the Website immediately. 

This Website is provided by officebroker.io, a trading style of Julian Hindley. The Website allows providers of office space (“Providers”) to list details of available workspace (“Space”) and allows Users to search for available Space.

Acceptance of Terms

By accessing or using officebroker.io (“the Website”), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these Terms, you must not use the Website or its services. 

Definitions 

1.1 Fee: Any charge invoiced by officebroker.io to a Provider following (i) the execution of a Licence Agreement with a Client introduced by officebroker.io, or (ii) an extension or renewal of such an agreement.
1.2 Licence Agreement: An agreement for the use of Space entered into between a Client and a Provider, following an Introduction by officebroker.io.
1.3 Listing(s): A Workspace listing uploaded to the Website by officebroker.io on behalf of a Provider.
1.4 Quote: A proposed price or terms issued by a Provider for the potential booking of Space, communicated to a Client via officebroker.io.
1.5 Space: Commercial office space for flexible or semi-permanent working.
1.6 officebroker.io / we / us / our: Refers to the company operating this Website, officebroker.io, a trading style of Julian Hindley.
1.7 Content: All text, graphics, images, audio, video, software, data compilations, page layout, underlying code, and any other form of information capable of being stored electronically that appears on or forms part of the Website.
1.8 Provider: A commercial landlord offering flexible or semi-permanent workspace.
1.9 User(s): Any individual accessing the Website who is not an employee, consultant, or service provider to officebroker.io acting in that capacity. 

Intellectual Property and Acceptable Use 

2.1 All Content on the Website is the property of officebroker.io, its affiliates, or relevant third parties. You may not reproduce, modify, copy, distribute, or use any Content for commercial purposes without prior written permission. By using the Website, you acknowledge that such Content is protected by copyright, trademarks, database rights, and other intellectual property rights.
2.2 Nothing on the Website shall be interpreted as granting any license or right to use any trademark, logo, or service mark without prior written permission from the respective owner. All rights are reserved. 

Warranties and Guarantees 

3.1 officebroker.io does not own or manage, nor does it contract for, any Space listed on the Website. We do not guarantee or endorse any Space or make any representation or warranty in relation to any Space.
3.2 We advise all Users to verify the accuracy of office space listings and conduct their own assessments, inspections, and due diligence before entering into a Licence Agreement or any agreements with Providers. officebroker.io does not guarantee the accuracy or completeness of listings. 

Limitations and Exclusions of Liability 

4.1 Nothing in these Terms will: 

  • Limit or exclude liability for death or personal injury resulting from negligence; 
  • Limit or exclude liability for fraud or fraudulent misrepresentation; 
  • Limit any liabilities under the Sale of Goods Act 1979, or the Supply of Goods and Services Act 1982; 
  • Limit or exclude any liability not permitted under applicable law. 

4.2 Subject to clause 4.1, we will not be liable for: 

  • Loss of profits, income, revenue, business, contracts, goodwill, or commercial opportunities; 
  • Loss of website traffic, search engine visibility, or advertising performance metrics such as quality scores; 
  • Any indirect, consequential, or special damages; 
  • Any loss of data, software, or corruption of files. 

4.3 Our total liability to you in respect of any loss or damage arising under or in connection with these Terms shall not exceed £500, except where such limitation is unlawful or unenforceable under applicable law.

4.4 You agree to indemnify, defend, and hold harmless officebroker.io and its affiliates, directors, and employees from and against any and all claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with your use of the Website or breach of these Terms to the extent permitted by law. 

Explicit Role Disclaimer 

4.5 officebroker.io acts solely as an introducer between clients and office space providers (“Providers”) and does not act as an agent for either party. We facilitate introductions but do not participate in any part of the agreement or lease negotiation process.  

Confidentiality 

5.1 We will not disclose confidential information related to the business of any Client or Provider, except as permitted by these Terms or required by law.
5.2 We may disclose your confidential information to our employees, agents, advisers, or subcontractors who need it to fulfil their obligations under these Terms.
5.3 By enquiring about, viewing, or contacting us regarding a Space, you consent to your information being shared with the relevant Provider. You acknowledge that the Provider may pay us a referral fee if you proceed to rent the Space.
5.4 Your use of the Website is subject to our Privacy Policy, which details how we handle personal data in accordance with the UK General Data Protection Regulation (UK GDPR). Please ensure you review our Privacy Policy.
5.5 We are committed to compliance with the UK General Data Protection Regulation (UK GDPR). Our Privacy Policy is regularly reviewed and updated to reflect changes in data processing activities. 

General 

6.1 You may not transfer your rights under these Terms without our consent. We may transfer our rights where we reasonably believe your rights will not be adversely affected.
6.2 We may amend these Terms at any time. Updated Terms will take effect from the date of publication. You are advised to check the Terms regularly. Continued use of the Website following changes constitutes acceptance of those changes. We will notify Users of any material changes via the Website or by email where feasible.
6.3 These Terms constitute the entire agreement between you and officebroker.io and supersede any previous agreements or understandings.
6.4 No third party shall have any rights to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.
6.5 If any provision is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
6.6 These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
6.7 Any delay or failure to exercise any right shall not constitute a waiver of such right.
6.8 All information about a Space is provided by Providers and may be subject to change without notice.
6.9 By using this Website, you confirm you are at least 18 years old or are authorised to act on behalf of a company or organisation.
6.10 If any court or competent authority finds that any provision of these Terms (or part of any provision) is invalid, illegal or unenforceable, that provision or part-provision will, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of these Terms will not be affected.
6.11 These Terms and Conditions, along with our Privacy Policy, are accessible via the footer of every page on the Website.

Website Use 

7.1 We may temporarily suspend Website access for maintenance, updates, or other reasons, with or without notice.
7.2 We are not responsible for the content of third-party websites. Links to external websites do not imply endorsement or association.
7.3 You may link to our homepage in a lawful and fair manner. If requested, you must remove any link within 24 hours.
7.4 The Website provides information about office spaces and facilitates enquiries between potential clients (“Users”) and Providers. By using this Website, you agree not to: 

  • Suggest any form of approval or endorsement where none exists; 
  • Link from websites you do not own; 
  • Submit false or misleading enquiries; 
  • Interfere with the operation or security of the Website. 
  • Frame our Website or link to any page other than the homepage; 
  • Link from any website that contains fraudulent, false, illegal, misleading, harmful, unlawful, offensive, misleading or deceptive information; or defamatory, libellous, obscene, pornographic, vulgar or offensive content; or promotes discrimination, racism, hatred, harassment or harm toward any third-party; or promotes violence or actions that are threatening to any third-party; or promotes illegal or harmful activities.

8.1 We do not warrant or guarantee that our Website is free of errors, viruses, Trojan horses or other destructive or contaminating components or content. We provide no warranty or guarantee that our Website is compatible with your computer equipment, and are under no obligation to do so.
8.2 We will not be held liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material or event that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our Website, the downloading of any content, or on any Websites linked to it.

9.3 You acknowledge that reliance on any such information is at your own risk. officebroker.io shall not be liable for any indirect, incidental, or consequential damages resulting from your use of the Website.
9.4 By submitting an enquiry through officebroker.io, you agree not to circumvent our service by contacting the Provider directly with the intent to avoid a referral fee

9.5 Any such attempt may result in officebroker.io seeking remedy from the Provider in accordance with our fee terms. While Users are not financially liable, we reserve the right to cease providing support or access to future listings in such cases we will exercise this right reasonably and proportionately.
